Montenegro Company Register
The main role of Montenegro’s Company Register (CRPS) is to incorporate companies, record changes to company information (such as shareholder and company director details, business activities, and other statutory data), and dissolve limited liability companies. Additionally, the business registry makes company formation data publicly accessible through its website
Registering / Filing Companies
Company formation in Montenegro is a relatively straightforward procedure and is most often handled by lawyers or accountants (just like adriacom!) through a power of attorney, allowing them to act on your behalf. Before your limited company can be registered, a business name check will be carried out to ensure your desired business name is still available and complies with Montenegrin naming regulations.
Once the shareholder structure is determined and the director is appointed, the set of company formation documents (the Standard Registration Form, plus the Memorandum and Articles of Association) is submitted by the agent, either in person or by mail. It typically takes 7 – 10 days for a limited liability company to be registered.
Upon successful registration, the Certificate of Incorporation is issued by Montenegro’s Company Register (CRPS). This document includes your company’s registration number and corporate tax identification number (PIB).
Updating Company Information
The CRPS is also responsible for recording updates to your company’s information, such as changes to the business name, registered address, adjustments to the shareholder structure, or an increase in share capital. Some changes also require the passage of a resolution and the redrafting of the company’s Articles of Association, such as nominating a new director.
Info: All updates to the registry’s database are advertised in Montenegro’s Gazette (‘Sluzbeni List’), which serves as the official journal of public records.
Dissolving / Liquidating Companies
If you ever decide to close your business in Montenegro and remove it from the Companies Register, there are four main options available:
- Voluntary Dissolution (brisanje);
- Simplified Liquidation (dobrovoljna likvidacija po skracenom postupku);
- Standard (full) Liquidation (likvidacija);
- Insolvency-driven Liquidation/Bankruptcy (prisilna likvidacija / stečaj)
Voluntarily dissolving your company or opting for a simplified liquidation (assuming it is possible) is often a simpler and more cost-effective way to close your business than going through full liquidation or bankruptcy proceedings.
Company Register Search

The official website of Montenegro’s Company Register (CRPS) offers a search function (currently only in Montenegrin), allowing you to access company information such as the registered business address, total share capital, main business activity code, and personal details of all shareholders, directors, and appointed secretaries. It also serves as a way to preliminarily check for available company names. Here’s what you need to do to find out whether your desired company name is still available:
- Open the website of the CRPS
- Click on Quick Search (Brza Pretraga)
- Enter your desired company name in the first field (Naziv privrednog subjekta)
- Click Search (Trazi)
If the search function does not return any results, no other business entity has likely registered the chosen business name, and you are free to use it.
