Everything you need to know about company formation in Montenegro

Is it possible to start a business in Montenegro without moving there?

When setting up a business in Montenegro, you’d also need to obtain a temporary residence permit as either the company director or sole proprietor. The residency application requires your personal presence in Montenegro. However, you can also run the business from abroad, coming at least once a year to renew your residence permit.

There is no minimum physical presence requirement for sole traders and company directors on an entrepreneur visa.

Even though you can establish your business via power of attorney, you’d need to come personally to Montenegro for your residency application, which takes 14 days to process, and again to pick up your residency ID and open your bank account(s).

Due to current visa regulations, we are only able to work with citizens from the following countries:

A limited company can be established with a startup capital of 1,00€ by just one person, who can also be the company’s sole shareholder and director. Every company in Montenegro needs a local bank account and a registered business address, which is included in most of our formation packages.

A limited company’s monthly running costs consist of payroll, bookkeeping, and accounting expenses:

1) Monthly payroll and salary taxes

The current minimum net wage that every non-college-educated company director of a Montenegro-based company must receive is 600,00€ per month, and the company has to pay 75,10€ in salary taxes and social security contributions. The salary has to be paid out each month from the company’s business bank account to your personal bank account. If you are employed in your company as a college/university graduate, you’ll have to receive a minimum net salary of 800,00€ instead, and on top of that, the company pays 127,00€ to the government in the form of salary taxes.

2) Bookkeeping and Accounting fees

We offer accounting services that cover payroll accounting, bookkeeping, invoicing, and company accounts with prices starting from 90,00 Euros (+VAT) per month.

So in total, you are looking at a monthly fee of 184,00 Euros for running a limited company in Montenegro. The monthly salary is paid in full to the company director and is not considered a cost.

If you have already received your residency ID, you can also sponsor your married spouse and underage children to become temporary residents of Montenegro. The process requires the personal presence of all applicants at the immigration office in Montenegro.

While it is possible to convert a sole proprietorship into a limited company, it would involve renouncing your current residence permit and reapplying from the beginning. If you think of switching sometime in the foreseeable future anyway, it would be highly beneficial to opt for the limited company type from day one.

Limited companies in Montenegro pay corporate income taxes at marginal and progressive rates:

9% on the first 100,000€ of business income,
12% on the next 1,400,000€ of profits, and
15% on all remaining corporate income above 1,500,000€
Dividends are taxed at a rate of 15%.

The Value-Added-Tax (VAT) rate for most goods and services in Montenegro is 21%. If you offer services to foreign businesses over the Internet, usually these services will be zero-rated for VAT purposes and taxable at a rate of 0%. The VAT registration threshold in Montenegro is 30,000€ for both sole traders and limited companies. If your revenue exceeds this threshold over a rolling 12-month period, you must register for Value-Added Tax.

A foreign-owned limited company (D.O.O.) can only have one non-Montenegrin director for residency purposes, but can have multiple foreign shareholders (owners). The company director’s married spouse can apply for a family reunification visa. In the case of unmarried couples, one partner can act as the company’s director while the other can be a shareholder in the company and/or hired as a regular employee.

Due to the nature of Montenegro’s company law, we currently don’t have any ready-made shelf companies available for purchase.

There are no legal requirements to achieve a certain minimum turnover or profit for your limited company in Montenegro. However, even a dormant company would still need to be solvent enough to service the monthly accounting fees, the director’s salary, and the social security contributions.
