Montenegro Company Register

The main role of the Central Registry of Commercial Entities (CRPS), also known as Montenegro’s company register, is to incorporate, make changes to company information, and dissolve (limited liability) companies. Further, the registry is responsible for making company formation available to the public via their website.

Registering / Filing Companies

Company Formation in Montenegrin is a relatively straightforward procedure and is mostly undertaken by lawyers or accountants via power of attorney, allowing them to act on your behalf. Before a company can be filed, they will perform a business name check to see if your desired company name is still available and does not clash with local naming regulations.

After the shareholders have been chosen and the directors have been appointed, the required documents, namely the company’s Articles of Association and the Memorandum, are then handed or mailed in by the agent. It takes usually one week for a limited liability company to be filed and registered for tax.

Upon successful registration, the ‘certificate of incorporation’ is issued by the Central Registry of Commercial Entities, confirming that the newly founded company legally exists within their database. This document also contains your company registration and a corporate tax identification number.

Make Changes to Company Information

Montenegro’s Company Register is also responsible for updating your company information such as changing the registered corporate address, appointing a new director, registering a change in the shareholder structure, and increasing the share capital. Some changes also require the passing of a resolution like redrafting the company’s articles of association and nominating a new director.

Dissolving / Liquidating Companies

Voluntarily striking off your company, alternatively known as ‘voluntary dissolution’, is a process by which it is removed from the Montenegrin Company Register. Dissolving your company is a simpler and more cost-effective way to shut down your business, when compared to liquidating it.

The official website of the CRPS offers a search function (so far only in Montenegrin language), allowing for everyone to retrieve some of the company information, including the registered address and share capital, company activity code, plus details about all shareholders, directors, and appointed secreteries.

It also serves as a means to preliminary check for available company names. Here is what you’ll need to do in order to find out whether your desired company name is still available:

  1. Open the website of the CRPS
  2. Click on ‘Brza Pretraga’ (Quick Search)
  3. Insert the name into the first field (‘Naziv privrednog subjekta’)
  4. Click ‘Trazi’

In case the search function does not show any result, it is very likely that no other business entity has registerd the chooses business name.
